Terms and Conditions

Welcome to CIOS – a platform designed to connect individuals and businesses to rent and lend items easily and securely. These Terms and Conditions ("Terms") govern your access to and use of the CIOS platform, website, mobile applications, and related services (collectively, the “Service”). By accessing or using CIOS, you agree to be bound by these Terms. If you do not agree, please do not use the platform.


1. Platform Status – Beta Version

CIOS is currently operating in beta, which means the platform is still under active development. While we strive to provide a stable and secure experience, features may change, bugs may occur, and certain aspects of the Service may not function as expected.

By using the beta version of CIOS:

  • You acknowledge that the platform is experimental.

  • You agree to use the Service at your own risk.

  • CIOS is not liable for any loss, damage, or inconvenience caused by the use of this platform during the beta phase, including any errors, downtime, data loss, or technical issues.

  • Any feedback, suggestions, or ideas submitted during this period may be used by CIOS for product improvement without compensation or obligation to the user.


2. Eligibility

To use CIOS, you must:

  • Be at least 18 years old;

  • Have the legal capacity to enter into contracts;

  • Agree to comply with all applicable laws and regulations.


3. User Responsibilities

You agree to:

  • Provide accurate and truthful information in your profile and listings;

  • Only list items you have the legal right to rent or lend;

  • Return rented items in the agreed condition and timeframe;

  • Respect the terms set by other users.

Prohibited actions include:

  • Engaging in fraud, misrepresentation, or illegal activity;

  • Circumventing fees or payments through off-platform arrangements;

  • Abusing, threatening, or harassing other users;

  • Listing age-restricted, prohibited, stolen, counterfeit, or otherwise unlawful items.


4. Listings and Rentals

CIOS is a marketplace facilitator. We do not own, inspect, store, maintain, insure, or guarantee the quality of any items listed on the platform.

When you list or rent:

  • You enter a binding agreement directly with the other user;

  • CIOS is not a party to the transaction and is not responsible for disputes, damage, theft, misrepresentation, or breach of agreement;

  • Users are solely responsible for securing insurance if required or desired;

  • CIOS does not verify ownership or condition of items listed.


5. Payments and Fees

  • All financial transactions are processed via trusted third-party providers (e.g., Stripe).

  • CIOS may charge service fees, which will be disclosed during the booking process.

  • You are responsible for any applicable taxes, duties, or local levies.

  • CIOS does not offer or process refunds directly. Refunds and cancellations are subject to the terms of the rental agreement between users.


6. Third-Party Services

CIOS may use or integrate third-party services and tools, such as payment processors, booking engines, identity checks, or analytics platforms.

  • CIOS is not responsible for any disruption, error, or harm caused by third-party tools;

  • Your use of these tools may be subject to their own terms and privacy policies;

  • CIOS does not guarantee the availability or accuracy of third-party services.


7. Identity Verification

We may provide optional or required identity verification through third-party services to enhance trust on the platform.

  • Verification does not guarantee accuracy or legitimacy of a user;

  • CIOS is not liable for any damages caused by false or misleading identity information;

  • We reserve the right to suspend or remove unverified or suspicious accounts.


8. Platform Availability and Maintenance

  • We aim to maintain the highest availability of the platform but do not guarantee uninterrupted access.

  • Access to the platform may be interrupted for maintenance, updates, or unforeseen technical issues.

  • CIOS shall not be liable for any downtime, data loss, or business interruption resulting from outages.


9. Disputes and Resolution

  • Users agree to attempt to resolve disputes directly with one another in good faith.

  • If necessary, users may contact CIOS support for informal mediation. However, CIOS is not responsible for enforcing agreements between users.

  • Disputes not resolved informally may be subject to binding arbitration or court action, depending on jurisdiction (see Section 16).


10. Account Suspension and Appeals

CIOS reserves the right to suspend, restrict, or terminate any account at our sole discretion, including for:

  • Violations of these Terms;

  • Reports of fraud, abuse, or policy violations;

  • Suspicious or unlawful activity.

Users may appeal suspensions by contacting support. Appeals will be reviewed fairly, but all decisions are final.


11. User Content

You retain ownership of all content (e.g., item listings, reviews, photos) that you post to the platform. However, by posting content, you grant CIOS a worldwide, non-exclusive, royalty-free license to:

  • Display, distribute, and promote the content on and through the platform;

  • Use the content to improve or market the Service.

We reserve the right to remove or moderate content that violates policies or laws.


12. Insurance and Liability

  • CIOS does not provide insurance of any kind.

  • Users are responsible for protecting their own property, ensuring suitable coverage where applicable.

  • CIOS is not liable for any damage, injury, loss, or theft arising from item rentals or user interactions.


13. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal data.


14. Limitation of Liability

To the fullest extent permitted by law:

  • CIOS disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement;

  • We do not guarantee that the Service will be error-free, secure, or continuously available;

  • CIOS is not liable for indirect, incidental, punitive, or consequential damages;

  • Our maximum liability to you is limited to the total service fees paid to CIOS in the previous 12 months.


15. Indemnification

You agree to indemnify and hold harmless CIOS, its affiliates, employees, and partners from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your:

  • Use or misuse of the platform;

  • Violation of these Terms;

  • Infringement of third-party rights;

  • Breach of any agreement with another user.


16. Governing Law and Jurisdiction

These Terms are governed by the laws of Australia and the laws of the State of Western Australia.

  • Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in Western Australia, Australia.

  • CIOS may choose to resolve certain disputes via arbitration or mediation where appropriate.


17. Force Majeure

CIOS is not liable for delays or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, labor disputes, government actions, network outages, or third-party service interruptions.


18. Modifications

We may revise these Terms from time to time. Updated versions will be posted on the platform with the date of revision.

  • Significant changes may also be communicated via email or notifications.

  • Continued use of the platform constitutes your acceptance of the updated Terms.
